**Job Profile:**
Join an agile and dynamic M&A team. The team's ambition is to manage a high volume of transactions with an operating mode similar to a private equity fund or a tech corporate development team. You will be involved throughout the transaction cycle: sourcing, due diligence, and execution. This is a formative experience across varied sectors, using advanced valuation methods, all while in contact with high-level executives.
**Responsibilities:**
- Collaborate within the M&A team and with Banyan's leadership team to identify, evaluate, and select acquisition opportunities.
- Lead discussions with owner-managers/founders, advisors, and bankers with professionalism and integrity.
- Prepare and analyze financial and non-financial information, as well as valuation and operational analysis models.
- Drive the entire M&A process: in-depth due diligence (financial, commercial, marketing, operational), drafting investment memos for board approval, and developing integration strategy.
- Collaborate with internal and external legal, technology, HR, and tax departments.
- Participate in financial and operational activities and the integration of newly acquired companies.
**Desired Qualifications:**
- Excellent academic record from a recognized educational institution, with a degree in business administration, finance, or a related field.
- Minimum of two years of M&A experience, gained within an investment fund, investment bank, transaction advisory firm, corporate development team, or in the software industry.
- Solid expertise in financial modeling and high proficiency in preparing rigorous and well-structured analyses.
- Excellent written and verbal communication skills, with the ability to interact effectively with senior executives and leaders.
- Strong professional ambition and availability to work a flexible schedule to grow within a fast-growing organization. Good understanding of technology and a genuine interest in the software industry.
**Job Profile:**
This is an exciting opportunity to become a key contributor of a lean, high-energy, high-volume M&A team. The core activities will resemble that of a technology-focused corporate development team or private equity firm. The Analyst will take on critical functions within the deal origination, diligence, and transaction processes, and will have a measurable impact on the organization. The experience will be unique and rewarding with the Analyst being exposed to new industries, business models, valuation methods, research techniques, C-level executives.
**Responsibilities:**
- Collaborate with Banyan’s M&A and the executive team to source and evaluate acquisitions.
- Lead conversations with owners, advisors, and bankers with the highest level of professionalism and integrity.
- Prepare and analyze financial and non-financial information, valuation, and operational models.
- Drive the entire M&A process, including conducting detailed financial, sales, marketing, and operational diligence; drafting investment memorandums for board approval; and crafting integration strategy.
- Manage diligence processes and engage with internal/ external legal, technology, HR, and tax. Assist in the finance, operations, and integration of newly acquired businesses.
**Qualifications for success:**
- Strong academic record from a competitive institution with a degree in Business or Finance
- Minimum 2 years of M&A experience, working in private equity, investment banking, transaction advisory, corporate development or a software specific industry.
- Expertise in building financial models, and proficiency in preparing thoughtfully structured analysis.
- Advanced written and verbal communication skills with the ability to converse with senior executives.
- Ambitious career goals with the ability to work flexible hours to grow within a fast-growing organization.
- A strong understanding of technology and a passion for the software industry.
