**What to Expect**

The **Senior Counsel, Compliance** provides senior-level legal advice and strategic counsel on compliance and ethics matters affecting Phillips 66's businesses. Working across a large corporate law department in a publicly traded, international energy company, this role serves as a trusted business partner to senior leaders, Compliance, and cross-functional stakeholders — translating complex legal and regulatory issues into practical guidance that anticipates risk, supports sound decision-making, and advances business objectives while protecting the company. The successful candidate will bring strong legal judgment, executive presence, and a commitment to the continued evolution of a risk-based, business-aligned compliance program.

**What You’ll Do**

- Providing strategic legal advice on complex compliance and ethics matters — including anticorruption, antiboycott, sanctions, OFAC compliance program support, conflicts of interest, third-party risk, and business conduct — and advising senior leaders, lawyers, and compliance professionals on the interpretation and application of applicable laws, regulations, policies, and controls.
- Engaging early in business initiatives, transactions, and partnerships to provide legal advice on compliance risks and support informed decision-making before issues materialize.
- Advising commodities traders and others on appropriate risk mitigations during fast-paced commercial negotiations in multiple geographies.
- Supporting the design, implementation, and continuous improvement of compliance policies, procedures, governance frameworks, training programs, and related controls.
- Advising on OFAC sanctions screening program design and oversight, license applications and management, and sanctions-related due diligence in business transactions, , and trading and marine deals.
- Advising on internal reviews, investigations, and risk assessments involving potential compliance issues, and providing legal guidance on high-risk third-party relationships, due diligence, and ongoing monitoring.
- Monitoring legal and regulatory developments — including energy sector regulatory regimes, trade control frameworks, data privacy, and AI governance — and counseling stakeholders on emerging risks and new requirements.
- Partnering with Compliance, Internal Audit, HR, Security, IT, Procurement, Finance, and business teams to support enterprise compliance initiatives; managing outside counsel on specialized matters; and helping shape company positions on significant compliance issues.
- Promoting a strong culture of ethics, integrity, accountability, and inclusion consistent with Phillips 66 values and Our Energy in Action behaviors.

**What You’ll Bring – Required**

- Legally authorized to work in the job posting country
- J.D. degree from an accredited law school
- Currently licensed and in good standing to practice law in at least one relevant U.S. jurisdiction
- 5 or more years of experience practicing law in compliance, regulatory, investigations, or related areas
- 1 or more years of experience with trade compliance and sanctions, including OFAC compliance programs and sanctions screening
- Knowledge of the fundamentals of energy commodities trading

**What Makes You Stand Out – Preferred**

- 10 or more years of experience practicing law in compliance, regulatory, investigations, or related areas
- Significant experience advising corporate compliance and ethics matters with strong working knowledge of anticorruption, sanctions, antiboycott, and related regulatory frameworks, in a law firm, in-house legal department, or similarly complex regulated environment
- Experience advising on internal investigations, compliance risk assessments, remediation planning, third-party risk management, and compliance due diligence
- Demonstrated ability to provide practical, risk-based legal advice on complex and sensitive matters to senior stakeholders, with excellent written and oral communication skills
- Strong collaboration, influencing, and interpersonal skills with mature judgment, discretion, and the ability to manage broad, complex, cross-functional assignments
- Experience in energy, commodities, or similarly regulated industry is strongly preferred; government or regulatory enforcement background (DOJ, SEC, CFTC, OFAC, or equivalent) is a plus
- Experience working across global or geographically dispersed teams, managing outside counsel, and supporting enterprise compliance program development is preferred

**Compensation Range**

This position has a base salary range of $209,700 - $256,300.
